Structure note: This document is drafted on the basis that GLOBALIZ LTD is the domain owner and service operator of allinseoul.net and also operates the SmartCubic platform. SmartCubic is therefore described as a technology platform and service brand operated by GLOBALIZ LTD, not as a separate legal entity.

Important Korea-facing commerce note: If allinseoul.net accepts orders from consumers in the Republic of Korea for paid goods or services, the applicable Korean e-commerce requirements concerning trader identity, transaction terms, withdrawal/cancellation and statutory record retention must be satisfied separately. This document does not replace any mandatory statutory seller-information display.

PART I. ALL IN SEOUL TERMS OF USE

1. Purpose

These Terms govern the use of allinseoul.net and SmartCubic-enabled services owned and operated by GLOBALIZ LTD (the “Company”) and set out the rights, responsibilities and obligations of the Company and Users.

2. Definitions

1. “SmartCubic” means the internet technology platform and related platform solutions operated by the Company for businesses and individuals.

2. “Company” means GLOBALIZ LTD, the domain owner and service operator of allinseoul.net and the operator of SmartCubic.

3. “User” means an individual or entity that accepts these Terms and the Privacy Policy and uses the Services.

4. “Business Member” means an individual or entity that uses the platform to offer products, services, events, information or promotions to Users.

5. “Service” means Seoul and local information, search and recommendations, business or organisation pages, events, enquiry or booking connections, MetaCubic, Reward, CubicPass, Friend, Comment, Cubic App, QR/URI and other functions made available through allinseoul.net or SmartCubic.

6. “Personal Information” means information about an identified or identifiable individual, including name, email address, contact details, account information and service-use information.

7. “Content” means anything a User provides, posts, uploads, creates or shares through the Service, including text, images, links, business information, Comments and Cubic App information.

8. “SmartCubic ID” means an identifier selected by a User or issued or approved by the Company for identification purposes.

9. “Password” means authentication information used to verify a User and restrict access to the account.

10. “Reward” means a benefit or reward function that the Company or participating businesses may make available within the SmartCubic ecosystem subject to applicable programme conditions.

3. Application and Eligibility

Where an account is required, the relevant Service may be used after registration or activation of a SmartCubic ID in accordance with these Terms. Public information features that do not require an account remain subject to the provisions relevant to those features.

• A person under 14 may not independently use account-based SmartCubic services unless the Company provides a guardian-authorised process. This is a Company service policy; where Korean privacy law applies and consent is required to process the personal information of a child under 14, legally required representative consent and verification must also be obtained.

• Where lawfully established and reasonably necessary for safety, the Company may restrict access by a person with a serious sexual-offence conviction or other serious safety-related history, to the extent permitted by applicable law.

• A person whose account was previously terminated or suspended for a material breach of these Terms or Company policies may be prohibited from re-registering without prior approval.

4. Registration and Accounts

Where registration is required, a User must provide a valid SmartCubic ID, name, email address and password. A mobile number may be required only where genuinely necessary for a particular feature, security or verification. Users must ensure that account information is accurate, current and lawfully usable by them.

5. Refusal, Suspension and Termination

The Company may refuse registration or suspend or terminate an account or access where any of the following applies. Unless urgent security or legal reasons prevent it, the Company will seek to provide reasonable information about the reason and available next steps.

1. The User does not accept these Terms or a required privacy notice or consent process.

2. The User registers with another person’s personal information, account or identity without authority.

3. The User provides false, deceptive or impersonating information.

4. The User fails to provide information genuinely required for a relevant feature.

5. The User does not satisfy the eligibility requirements.

6. The User infringes intellectual property rights of the Company or a third party.

7. The User engages in unlawful defamation, serious harassment, interference with business operations or infringement of another person’s rights.

8. The User uses the Service for fraud, manipulation, spam or improper gain contrary to these Terms.

9. The User engages in hacking, phishing, malware distribution, unlawful data processing or other illegal conduct.

6. Account Management and User Duties

1. Users retain legal rights relating to their Personal Information, which is processed under the Privacy Policy in Part II.

2. A User must ensure that any email address and optional mobile number supplied are accurate and lawfully controlled by the User.

3. As a general rule an individual should maintain one primary SmartCubic ID, except where the Company authorises business, administrator or role-based accounts.

4. IDs, passwords and authentication information must be kept secure and confidential.

5. Users must not sell, transfer, lend or share accounts without authority.

6. Users should keep material account and contact information current.

7. User Content and Prohibited Conduct

Users bear primary responsibility for Content they create, upload or share and for their use of the Service. The Company remains responsible for obligations imposed on it by applicable law, and this section does not exclude liability that cannot lawfully be excluded.

• Content or conduct that breaches these Terms, Service policies or applicable law

• Infringement of another person’s copyright, trade mark, image, privacy or other rights

• Collection, use or disclosure of another person’s Personal Information without a lawful basis

• Sexual exploitation, unlawful discriminatory or hateful conduct, fraud, deception, threats, harassment, spam, phishing or malicious links

• Intentionally false business or event information likely to materially mislead Users

8. Content Licence

1. Users retain their rights in User Content.

2. To the extent reasonably necessary to operate, display, search, distribute, back up and technically process the Service, Users grant the Company a non-exclusive, worldwide, royalty-free licence to use User Content. The Company may sublicense these rights to hosting, processing or distribution providers only as reasonably necessary to operate the Service.

3. The licence generally ends when the User deletes the Content or closes the account, but Content already shared with others, information subject to legal retention obligations, backups, or information required for disputes, security or legal claims may remain for a reasonable period.

9. Reward

1. Reward may be granted in connection with membership activity, promotions, referrals, purchases, business participation or other conditions set by the Company.

2. Reward may be used for discounts, promotions or benefits on participating Services or domains subject to applicable conditions.

3. Unless a specific Reward programme states a validity period, Reward does not expire solely because time has passed.

4. If a User closes an account or the account is lawfully terminated, unused Reward may be forfeited unless programme terms or mandatory law provide otherwise.

5. Unless expressly stated otherwise, Reward is not legal tender, a bank deposit, electronic money or an investment product, and cash redemption or transfer is not guaranteed.

10. Communications and Marketing

The Company may send operational messages reasonably necessary for account administration, transactions, security, Service changes, bookings or enquiries. Advertising or promotional electronic messages will be sent only where there is the consent or other lawful basis required by applicable law, and where required will identify the sender and provide an unsubscribe method. A Business Member using User information for direct marketing must independently comply with applicable legal obligations.

11. Responsibilities of Business Members

Business Members must ensure that products, services, events, prices, locations, qualifications, approvals, promotions and contact information they provide are accurate and lawful. Where an independent Business Member is the actual supplier, that supplier is responsible for performance of its goods, services or events and for obligations imposed on it by applicable law.

12. Pricing, Payments and Payment Recipients

Before payment for a Paid Service, the Company seeks to identify the relevant service, amount, currency, payment frequency, actual seller or provider, actual Payment Recipient and material cancellation or refund terms. Unless expressly stated otherwise, GLOBALIZ LTD is the supplier and Payment Recipient for Paid Services directly supplied by allinseoul.net. PayPal or another payment provider may process the transaction. If an authorised partner or independent Provider receives payment, the actual recipient and its role should be identified before payment is completed.

13. Korea-Facing E-Commerce Disclosures

Where allinseoul.net offers a transaction that is subject to Korean electronic-commerce rules, the Company or the actual seller will provide the trader identity and transaction information required by applicable Korean law, which may include business name, representative, address, telephone number, email address, applicable mail-order sales registration information, material goods or service terms, and withdrawal, cancellation and refund information. Where a third party is the actual seller or Payment Recipient, its identity and role should be made reasonably clear before checkout.

14. Recurring Payments, Cancellation and Refunds

Where automatic renewal or recurring billing applies, the amount, currency, frequency, renewal arrangement, cancellation method and material refund terms will be presented before authorisation. Cancellations and refunds are subject to the conditions displayed for the relevant Service or transaction and applicable consumer law. Nothing in these Terms limits a consumer remedy that cannot lawfully be excluded.

15. MetaCubic and Public Information

A SmartCubic ID, name, email address, profile, business or organisation information, images, links and other Content that a User elects to publish through a public MetaCubic or business page may be accessible to internet users. Do not publish information in a public area if you do not want it publicly accessible. A telephone number may be optional where it is not required for a feature.

16. Friend, Comment and Cubic App

Friend functions may display information designated as public to connected Users. A User who posts a Comment bears primary responsibility for that Comment. A Cubic App creator is responsible for the accuracy and legality of icons, titles, descriptions, URLs, categories, search keywords, images and other submitted information and for having sufficient rights to use that material.

17. Intellectual Property

Copyright, trade marks and other intellectual property rights in allinseoul.net, SmartCubic, LocalCubic, MetaCubic, RewardCubic and Company-created software, code, data structures, pages, designs, documentation, logos and branding belong to the Company or the relevant rights holder. Users receive only a limited right to use the Service and must not copy, resell, reverse engineer, transfer or commercially exploit Company intellectual property without permission.

18. Privacy and Reuse of Public Information

Personal Information is processed under Part II of this document. The fact that information is publicly visible does not create an unlimited right for third parties to harvest, resell, profile, spam or use Personal Information for marketing.

19. Protection of Minors

A person under 14 may not independently use account-based Services unless the Company provides a guardian-authorised process. Minors should avoid publishing home addresses, school information, personal phone numbers, precise location, financial details or identification information. Where Korean privacy law applies and consent is required for a child under 14, the legally required representative consent and verification process applies.

20. Restriction, Suspension and Termination

The Company may reasonably restrict, suspend or terminate accounts or functionality for security, fraud prevention, unlawful activity, material breach, rights infringement, non-payment, system integrity or legal requirements. Nothing in this section excludes liability that cannot lawfully be excluded.

21. Responsibility and Limitation of Liability

The Company remains responsible, as required by applicable law, for Services it directly supplies and for its own representations and conduct. For goods, services or events supplied by independent third parties or Business Members, the Company’s responsibility is limited to its actual role and any responsibility imposed by law. To the maximum extent permitted by law, the Company may limit liability for unforeseeable indirect, special or consequential loss or loss caused by a User’s breach, but not where liability cannot lawfully be excluded or limited.

22. Changes to These Terms

The Company may amend these Terms to reflect changes in law, Services, technology or operating arrangements. Where a change is materially adverse to significant User rights or obligations, the Company will, except for urgent security or legal changes, seek to give at least 10 days’ notice through the Service, email or another reasonable method. Where applicable law requires express consent, the Company will obtain it.

23. External Services and Links

The Service may link to PayPal, maps, social media, local business websites and other external services. A link does not by itself constitute a guarantee or endorsement, and third-party terms and privacy policies may apply.

24. Governing Law and Mandatory Rights

Subject to mandatory law applying to a particular User or transaction, these Terms are governed by the laws of New Zealand. Where mandatory Korean consumer, e-commerce or privacy law applies to a Korea-facing transaction or processing activity, nothing in these Terms removes the rights provided by that law.

External payment, hosting, email, business or event providers are treated as separate recipients or processors only where they actually handle Personal Information.

2. Scope

This Policy applies to allinseoul.net and SmartCubic-enabled functions connected from that domain. External business websites, maps, PayPal, social-media services and independent third-party services may apply their own privacy policies.

3. Personal Information We May Process

• Account and identity information: SmartCubic ID, name, email address, authentication information and optional telephone number

• Local and business information: business or contact-person name, organisation name, address, public contact details, category, service description and images

• Enquiry, booking and event information: enquiries, bookings or applications, event selection and customer-support records

• Profile and public information: MetaCubic profile, public contact information, images and public Content

• User Content: Comments, reviews, Cubic App icons, links, images, descriptions and posts

• Newsletter and marketing choices: email address and subscription/preferences

• Technical information: IP address, device/browser information, access times, security and error logs

• Transaction information: order/transaction IDs, amount, currency, payment status, actual Payment Recipient, refund and dispute information

• Other information voluntarily provided by a User

4. Purposes of Processing

We process Personal Information as reasonably necessary to provide Seoul and local information and business pages, search and recommendations, account and authentication functions, enquiry, booking and event connections, customer support, payments, refunds and disputes, MetaCubic, Reward, Friend, Comment, Cubic App, newsletters, security, fraud prevention, records management, legal compliance and protection of rights.

5. Lawful Bases

Depending on the applicable law, processing may be based on consent, performance or preparation of a contract, compliance with legal obligations, legitimate interests of the Company or a third party, or another lawful basis. Where Korean privacy law applies, processing will rely on a basis permitted under that law.

6. Data Minimisation and Optional Information

We seek to limit Personal Information to what is reasonably necessary for the relevant purpose. A telephone number may be optional where it is not required for a feature. A User will not be unreasonably denied an unrelated feature merely because optional information is not provided.

7. Direct Collection Notices

When a User directly provides Personal Information through an account, business listing, enquiry, booking, payment, newsletter, Comment or other content form, we seek to provide the collection and use information required by applicable law, including purposes, categories, retention, recipients or processing relationships, whether fields are required or optional, consequences of non-provision and available rights.

8. Indirect Collection and Local Information

We may obtain information from local businesses and organisations, event organisers, customer representatives, payment providers, publicly available sources or other lawful sources. Where Korean indirect-collection notice requirements or New Zealand IPP 3A apply and no exception is available, we will provide the required notice within the applicable framework.

9. Business Information and Personal Information

General information about a company or organisation is not always Personal Information. However, information that identifies a sole trader, representative, employee or contact person—such as a personal email address, personal mobile number, photograph or name—may be Personal Information and will be handled accordingly.

10. Internal Processing between allinseoul.net and SmartCubic

Because allinseoul.net and SmartCubic are operated by the same GLOBALIZ LTD entity, processing between these brands/systems for Service delivery is distinct from disclosure to a separate SmartCubic company. If information is to be used for a materially different purpose, we will assess whether additional notice, consent or another lawful basis is required.

11. Search, Recommendation and Meaning-Based Connections

We may use search terms, menu selections, location/category/semantic information, information provided by Users and business or Content information to provide search, recommendation or related connection functions. If sensitive profiling or automated decisions with legal or similarly significant effects are introduced, we will separately assess applicable legal requirements.

12. Public MetaCubic and Business Pages

If a User publishes information on a public MetaCubic or business page, a SmartCubic ID, name, email address, profile, business or organisation information, images and other public Content may be visible to internet users. Do not publish Personal Information in a public area if you do not want it publicly accessible.

13. Telephone Numbers

A telephone number may be optional where it is not required for a feature. Users who do not need to publish a personal mobile number should avoid placing it on a public page. A business may use a business or dedicated public contact number for public enquiries.

14. Comments, Reviews and Cubic App

Personal Information voluntarily included in a Comment, review or Cubic App entry may become publicly visible. Users must not publish another person’s Personal Information without lawful authority. Reported Content may be reviewed and restricted or removed where appropriate.

15. Friend and Reward

Friend functions may display SmartCubic ID, name, email address or public profile information designated for connected Users. Reward functions may process identifiers and transaction information necessary to provide and verify benefits.

16. Newsletters and Marketing

If a User subscribes to a newsletter or marketing, we may process the email address and communication preferences for that purpose. Where required by law, we will obtain the necessary marketing consent and provide an unsubscribe method. Essential service notices may be distinguished from marketing messages.

17. Payments and PayPal

Where PayPal or another payment provider is used, payer identification, order and transaction IDs, amount, currency, payment status, actual Payment Recipient, refunds and dispute information may be processed. Full card or financial-account details submitted directly to a payment provider may be processed separately by that provider under its own systems and policies.

18. Third-Party Disclosure

Where permitted by law and necessary for a Service, Personal Information may be disclosed to the actual business, Service or Event Provider, the actual Payment Recipient, PayPal or another payment provider, technology or security providers, or authorities where disclosure is legally required. Where Korean law requires consent for a third-party disclosure, the required information about the recipient, purpose, categories, retention/use period and right to refuse will be provided as required.

19. Processing by Service Providers

We may engage hosting, email, customer-support, security, payment or other service providers to process Personal Information on our behalf. Where Korean privacy law applies to outsourced processing, required contractual terms concerning purpose limitation, technical and organisational safeguards and other applicable matters will be documented, and processor information will be made available where legally required.

20. International Transfers and Overseas Processing

GLOBALIZ LTD is a New Zealand company and Users may be located in the Republic of Korea and other countries. In connection with administration, support, cloud, payment, email or other technology services, Personal Information may be processed, accessed or transferred outside the User’s country. Where a transfer is subject to Korean international-transfer requirements, we will apply the required lawful basis, notices, consent or safeguards. Where New Zealand Privacy Act overseas-disclosure requirements apply, appropriate safeguards will also be considered.

21. Retention

Personal Information is retained for as long as reasonably necessary for the relevant purpose and applicable legal, accounting, dispute and security obligations. If Korean electronic-commerce record-retention rules apply to a transaction, relevant records may be retained for statutory periods including 6 months for display/advertising records, 5 years for contract or withdrawal/cancellation records, 5 years for payment and supply records, and 3 years for consumer complaint or dispute records.

22. Deletion

When the processing purpose has ended and no legal retention obligation applies, electronic Personal Information may be deleted using methods reasonably designed to prevent ordinary recovery, and paper records, if any, may be destroyed by shredding or equivalent methods. Backup copies may be deleted according to normal backup cycles.

23. Security

We seek to maintain technical and organisational safeguards appropriate to the nature, scale and risks of the Personal Information we process. Users must also protect passwords and administrator credentials. No information system can guarantee absolute security.

24. Privacy Breaches

If a privacy breach occurs, we will assess its scope, impact and potential harm and, where required by applicable law, notify the relevant privacy authority and affected individuals.

25. Individual Rights

Depending on applicable law, individuals may have rights to access, correct, delete, restrict or otherwise control processing of their Personal Information. The scope and exceptions depend on applicable law. Requests may be submitted to info@smartcubic.com or another privacy channel designated by the Company.

26. Children and Minors

Personal Information relating to minors is handled with regard to age and capacity. Where Korean privacy law applies and consent is required for processing Personal Information of a child under 14, consent from the legal representative must be obtained and verified. Notices directed to children should use an understandable format and clear language.

28. Changes to This Policy

This Policy may be updated when the Service, technology, processing arrangements or applicable law changes. Material changes affecting significant privacy rights will be notified in the manner required by applicable law.
